Terms of Service
Effective Date: November 1, 2025
These Terms of Service ("Terms") govern your use of VersityLife university management platform and services ("Services") provided by VersityLife Cameroon ("VersityLife," "we," "us," or "our"). By using our Services, you ("Customer," "University," or "you") agree to these Terms.
1. Acceptance of Terms
- •By accessing or using VersityLife services, you agree to be bound by these Terms of Service.
- •These terms constitute a legal agreement between your institution and VersityLife Cameroon.
- •If you do not agree to these terms, you may not use our services.
- •Continued use of services after updates constitutes acceptance of revised terms.
2. Service Description
- •VersityLife provides cloud-based university management software including student information systems, academic management, financial operations, and administrative tools.
- •Services are provided "as is" with regular updates and improvements.
- •We reserve the right to modify, suspend, or discontinue features with reasonable notice.
- •Access requires active subscription and compliance with these terms.
3. Account Registration and Security
- •Universities must provide accurate registration information and maintain current contact details.
- •Account credentials are confidential and must not be shared outside authorized personnel.
- •Universities are responsible for all activities under their account.
- •Notify us immediately of any unauthorized access or security breaches.
- •We reserve the right to suspend accounts showing suspicious activity.
4. Subscription and Payment Terms
- •Services are provided on a subscription basis with pricing as agreed in your contract.
- •Payment terms: Monthly, quarterly, or annual billing as selected.
- •Late payments may result in service suspension after 15-day grace period.
- •Refunds: Pro-rated refunds available within first 30 days only.
- •Prices may change with 60 days notice to existing customers.
- •All fees are in XAF (Central African CFA Franc) unless otherwise specified.
5. Acceptable Use Policy
- •Services must be used for legitimate educational purposes only.
- •Prohibited: Illegal activities, harassment, distribution of malware, unauthorized access attempts, data scraping, or API abuse.
- •Universities must comply with Cameroonian law and educational regulations.
- •Do not use services to infringe intellectual property rights.
- •Respect system capacity limits and fair usage guidelines.
- •Report security vulnerabilities responsibly.
6. Data Ownership and Usage Rights
- •Universities retain full ownership of all student and institutional data.
- •VersityLife has no rights to use, sell, or transfer customer data except as necessary to provide services.
- •Universities grant VersityLife limited rights to process data solely for service delivery.
- •Anonymized, aggregated data may be used for platform improvements and analytics.
- •Data export available at any time in standard formats.
7. Service Level Agreement (SLA)
- •Uptime Guarantee: 99.5% monthly uptime (excluding scheduled maintenance).
- •Scheduled Maintenance: Announced 48 hours in advance, typically during low-usage periods (2-6 AM WAT).
- •Support Response Times: Essential plan (24 hours), Professional (8 hours), Enterprise (2 hours).
- •Data Backup: Daily automated backups with 30-day retention.
- •Downtime credits: Pro-rated service credits for uptime below 99.5%.
8. Intellectual Property Rights
- •VersityLife platform, software, trademarks, and documentation are owned by VersityLife Cameroon.
- •Customer receives non-exclusive, non-transferable license to use services during subscription.
- •No reverse engineering, decompiling, or creating derivative works.
- •Customer logos and branding remain property of the customer.
- •Feedback and suggestions may be used by VersityLife without compensation.
9. Limitation of Liability
- •VersityLife liability limited to fees paid in the 12 months preceding the claim.
- •We are not liable for indirect, consequential, or punitive damages.
- •Not responsible for data loss due to customer actions or force majeure.
- •Universities must maintain independent backups of critical data.
- •Service interruptions due to internet connectivity, power outages, or third-party providers are excluded.
10. Warranties and Disclaimers
- •Services provided "as is" without warranties of merchantability or fitness for particular purpose.
- •We warrant services will substantially conform to documentation.
- •No guarantee of error-free or uninterrupted service.
- •Universities responsible for validating data accuracy and compliance.
- •Third-party integrations provided without warranty.
11. Termination
- •Universities may cancel subscription with 30 days written notice.
- •VersityLife may terminate for breach of terms, non-payment, or illegal use.
- •Upon termination, data export provided within 30 days, then data is deleted.
- •Fees are non-refundable except as specified in refund policy.
- •Termination does not relieve outstanding payment obligations.
12. Governing Law and Dispute Resolution
- •These terms governed by the laws of the Republic of Cameroon.
- •Disputes subject to exclusive jurisdiction of courts in Douala, Cameroon.
- •Good-faith negotiation required before legal action.
- •Arbitration available through the Cameroon Chamber of Commerce.
- •English and French versions equally valid; French version prevails in case of conflict.
13. Force Majeure
- •Neither party liable for delays or failures due to events beyond reasonable control.
- •Force majeure includes: natural disasters, war, civil unrest, government actions, internet outages, pandemics.
- •Parties must use reasonable efforts to mitigate impact.
- •Extended force majeure (90+ days) allows either party to terminate without penalty.
14. Confidentiality
- •Both parties agree to maintain confidentiality of proprietary information.
- •Confidential information excludes publicly available data.
- •Universities may disclose VersityLife as their software provider.
- •Confidentiality obligations survive termination for 5 years.

Entire Agreement: These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between you and VersityLife.
Amendments: VersityLife may update these Terms with 30 days notice. Continued use after changes constitutes acceptance. Material changes require explicit acceptance.
